termination for cause Pemutusan/Pengakhiran akibat Kelalaian/Pelanggaran Explanation: ermination for Cause: If the CONTRACTOR fails to fulfill its obligations under this Contract properly and on time, or otherwise violates any provision of the Contract, the Department may terminate the Contract. Prior to terminating this contract, the DEPARTMENT shall give the CONTRACTOR thirty (30) days prior written notice of such default and if the CONTRACTOR has not cured such default within the thirty (30) day period, the DEPARTMENT may, by written notice, not less than five (5) days after expiration of this period, terminate the Contract. The notice shall specify the acts or omissions relied on as cause for termination. All finished or unfinished supplies and services provided by the CONTRACTOR shall, at the DEPARTMENT’s option, become the State’s property. The DEPARTMENT shall pay the CONTRACTOR fair and equitable compensation for satisfactory performance prior to receipt of notice of termination, less the amount of damages caused by the CONTRACTOR’s breach. If the damages are more than the compensation payable to the CONTRACTOR, the CONTRACTOR will remain liable after termination and the DEPARTMENT can affirmatively collect damages. Pada 'termination for cause,' cause (sebab)nya ada di pihak lain. Kalau dalam hubungan pekerja - perusahaan, maka sebabnya berada di pihak pekerja. Contohnya: “Cause” in this agreement means: (i) an intentional act of fraud, embezzlement, theft or any other material violation of law that occurs during or in the course of your employment with company; (ii) intentional damage to companies assets; (iii) intentional disclosure of company’s confidential information contrary to companies policies; (iv) breach of your obligations under this agreement; (v) intentional engagement in any competitive activity which would constitute a breach of your duty of loyalty or of your obligations under this agreement; (vi) intentional breach of any of company’s policies; (vii) the willful and continued failure to substantially perform your duties for company (other than as a result of incapacity due to physical or mental illness); or (viii) willful conduct by you that is demonstrably and materially injurious to company, monetarily or otherwise. For purposes of this paragraph, and act, or a failure to act, shall not be deemed willful or intentional, as those terms are defined herein, unless it is done, or omitted to be done, by you in bad faith or without a reasonable belief that your action or omission was in the best interest of company.
