Accordingly, everyone subject to the Code must read the Code and sign an Acknowledgement and Certificate of Compliance (“Acknowledgement”) at initial hire, annually, and at any other time as requested by the Company. Each time you are asked to sign an Acknowledgement, you will be asked to report situations of which you are aware that do not comply with the Code (called “exceptions”). You must report all possible exceptions involving you or others that are known to you. If you become aware of an exception after you sign an Acknowledgement, you must promptly inform your manager, the Chief Ethics Officer, or the applicable country-specific resource listed in the appendix to the Code. Each exception will be reviewed on an individual basis to determine whether a Code violation exists and, if so, if a waiver of the applicable Code provision(s) is appropriate, based upon the individual facts and circumstances. Waivers for executive officers and members of the Board of Directors may be made, if at all, only by the Board of Directors. Failure to sign an Acknowledgement or to promptly disclose a known exception is a violation of the Code.
