estoy traduciendo unos estatutos de USA (Delaware) y, en concreto, las facultades del consejo de administración de una sociedad. Tengo dudas sobre el significado de "unqualified power", que literalmente sería una "facultad no acreditada", pero no me tiene sentido alguno. ¿Alguna idea?

el poder sin fundamento / la facultad no respaldada
