I am translating an act and I find continuously the word Member, either as "non-defaulting member"or "defaulting members" or even just "Member". I am interested to know if there is a way to differentiate when to use "parte" and when to use "miembro" since the act is talking about a member of a company that at the same time is being mentioned in the minutes and therefore he becomes one of the parties. Would you recommend to use "member"/"miembro" always? is there any other option or way to perform the translation? If anyone has any sources or research about it, I thank you in advance.


Estoy traduciendo un acta EN a ES y continuamente encuentro la palabra Member, ya sea como "non-defaulting member" o "defaulting members" o incluso solamente "Member". Me interesa saber si hay una manera de diferenciar cuándo utilizar parte y cuándo utilizar miembro ya que se habla de un miembro de una compañía que al mismo tiempo está siendo mencionado en el acta y por lo cual se convierte parte. ¿Recomendarían utilizar miembro siempre? ¿existe alguna otra opción o manera de realizar la traducción? Si alguien tiene alguna fuente o investigación al respecto le agradezco de antemano.

Si se utiliza la palabra "socio" se cambia la nomenclatura normal esperada por alguien que vaya a firmar este contrato. Va a tener que asegurarse de que se trata de una LLC y no de una LLP (limited liability partnership) disfrazada. Si la persona que encargó la traducción desea vender participaciones en un country club a través de este contrato, va a tener que estar explicando a algunos de sus potenciales clientes que se trata de una LLC y no una LLP. Un cliente también puede estar esperando firmar como "miembro" para la compra en un country club y no como "socio".

Es difícil decir cómo manejarse al respecto sin ver ejemplos.
