Hi there,

I am translating a service agreement (STANDARD TERMS).

There is the following paragraph:

"At any time beginning on the Effective Date, a Client Group Company may request to receive Products and/or Services from a XXX's Group Company on the terms set forth in the Agreement. Whenever a Client Group Company wishes to order Products and/or Services hereunder it shall notify the relevant XXX’s Group Company, and the parties will negotiate the terms relating to such order. Upon signature of an Order Form or Work Order by the duly authorized signatories of the XXX’s Group Company and the Client Group Company, a new agreement shall be formed between the signing parties whereby: (a) the terms of the Agreement (including these Standard Terms) shall be incorporated into the Order Form or Work Order as if written out in full therein; (b) any reference in the Agreement to “XXX’s” for purposes of such Order Form or Work Order shall be deemed to refer to the relevant contracting XXX’s Group Company; and (c) any reference in the Agreement to “Client” for purposes of such Order Form or Work Order shall be deemed to refer to the relevant contracting Client Group Company.

I am confused as to Agreement. When it says "any reference in the Agreement to XXX's for purposes of such O.F., etc", does this mean the new agreement between the 2 companies or THE Agreement (+ST)?

disagree  Mark Robertson: The Agreement (with an upper case A) is a reference to the Master Agreement. Agreement (with a lower case a) refers to the new agreement made on the signing of a new Order Form or Work Order, which incorporates the terms of the (Master) Agreement.
