Source text - English 1. Distribution Right. The Company hereby appoints and grants Distributor the exclusive and non-assignable right to sell the equipment of the Company ("Equipment") listed in the then current "Price List" (Exhibit "A" attached hereto) [omitted]. The distribution right shall be limited to customers who have places of business in, and will initially use the Company's products in the geographic area set forth in Exhibit "B" attached hereto.
2. Prices. All prices stated are FOB the Company's offices in ______ [Address]. Prices do not include transportation costs which shall be borne by Distributor. Prices do not include federal, state or local taxes applicable to the products sold under this Agreement. An amount equal to the appropriate taxes will be added to the invoice by the Company where the Company has the legal obligation to collect such taxes. Distributor shall pay such amount to the Company unless Distributor provides Company with a valid tax exemption certificate authorized by the appropriate taxing authority.

La Société nomme par les présentes le Distributeur et lui concède le droit exclusif et non-cessible de vendre l’équipement de la Société (ci-après « Équipement ») listé dans la « Liste de Prix » alors en vigueur (Annexe « A » jointe aux présentes) [non communiquée]. Le droit de distribution sera restreint aux clients qui sont établis dans le territoire géographique déterminé dans l’Annexe « B » jointe aux présentes et qui vont à l'origine utiliser les produits de la Société sur ce territoire.
2. Prix. Tous les prix s’entendent FAB (Franco A Bord) des bureaux de la Société situés _________ [Adresse]. Les prix ne comprennent pas les frais de transport qui seront supportés par le Distributeur. Les prix ne comprennent pas les taxes fédérales, étatiques ou locales exigibles relativement aux produits vendus dans le cadre du présent Contrat. Un montant équivalent aux taxes correspondantes sera ajouté à la facture par la Société lorsqu'elle a l’obligation légale de percevoir de telles taxes. Le Distributeur règlera le montant de ces taxes à la Société sauf s'il communique à la Société un certificat d’exonération d’impôts valable et autorisé par l’autorité fiscale compétente.
