English to Chinese: Intellectual Property Transfer
Source text - English EFG must indicate its intention to exercise the Option by notifying ABC in writing within sixty (60) days of disclosure of the subject Intellectual Property to EFG, or as may be extended in writing by mutual consent of the parties (the “Option Period”), failing which ABC or its assignee(s) may offer licenses to the Intellectual Property to third parties without further obligation to EFG. Unless otherwise agreed to in writing by the Parties, ABC shall be under no obligation to file, prosecute or maintain patents related to the Intellectual Property during the Option Period or the Execution Period (as defined). For clarity, ABC shall not disclose any ABC Background Intellectual Property to third parties during the Option Period.
Translation - Chinese EFG须在收到知识产权标的披露六十（60）日内或在双方书面协议的延长期内（“选择权有效期”）书面表明其行使选择权之意图。否则，ABC或其代理人可将知识产权许可证提供给第三方，且不再对EFG负有任何义务。除双方另有书面约定外， ABC在选择权有效期和执行期（见定义）内，对与该知识产权有关的专利提交、诉讼和维持不负有义务。ABC在此明确在选择权有效期内不向第三方披露任何ABC背景知识产权。
