10.1 This agreement and the legal relationships established by or otherwise arising in connection with it shall be governed by, and interpreted in accordance with English law.
10.2 The Parties shall use all reasonable endeavours to resolve any Dispute amicably and in good faith.
10.3 Any Dispute that has not been resolved in accordance with clause 10.2 within thirty (30) days after a party shall have notified such Dispute to the other parties in writing shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration (the LCIA Rules), which Rules are deemed to be incorporated by reference into this clause. The tribunal shall consist of three arbitrators, one arbitrator to be nominated by the Company, one arbitrator to be nominated by the Option Holder each for appointment by the LCIA Court in accordance with the LCIA Rules, and the third to be nominated jointly by the first two arbitrators. The seat of the arbitration shall be London. The language of arbitration shall be English.
10.4 Pursuant to and in accordance with Article 28.4 of the LCIA Rules, the parties agree that, as a general principle, the losing party of any arbitration shall pay all Costs of the arbitration including all reasonable costs, fees and expenses of the other party and the other party's counsel.
10.5 Any award of the arbitration tribunal shall be final and binding on the parties and each party hereby waives any right of appeal, including any rights to make an application or to appeal to the English courts under sections 45 and 69 of the English Arbitration Act 1996. Any award of the arbitration tribunal may be enforced by any court of competent jurisdiction.
10.6 By agreeing to arbitration pursuant to this clause 10, the parties do not intend to deprive any court or other governmental body or regulatory agency of its jurisdiction to issue an interim injunction or other interim relief or assistance in aid of the arbitration proceedings or for the enforcement of any arbitral award, provided that the parties agree that they may seek only such relief as is consistent with their agreement to resolve Disputes by way of arbitration.

10.1 Настоящее соглашение и юридические отношения, установленные или иначе возникающие в связи с ним, регулируются и интерпретируются в соответствии с законодательством Англии.
10.2 Стороны должны прилагать все разумные усилия по мировому и объективному разрешению любого Спора.
10.3 Любой Спор, не разрешенный в соответствии с пунктом 10.2 в течение тридцати (30) дней после письменного уведомления о таком Споре одной стороной другой стороны, направляется и подлежит окончательному разрешению в арбитраже согласно Регламенту Лондонского международного третейского суда (Регламент LCIA), такой Регламент считается включенным посредством ссылки в настоящий пункт. Source text - English 3. VESTING CONDITIONS
3.1 The Units comprised in a Share Option shall vest in the following amounts and on the
following dates:
3.1.1 in relation to a number of Units equal to one hundred per cent. (100%) of the Units in respect of which the Share Option is granted the date which is two (1) day after the Grant Date which is applicable to the relevant Option Holder;
3.2 In case any person (an existing shareholder or a bona fide third party) acquires Control in the Company via a Share Sale, issuance of new primary shares in the Company or a combination thereof, then all Share Options become vested with immediate effect.
3.3 The Board of the Company may, in its absolute discretion, approve any number of Units in respect of which the Share Option Certificate is issued (any such amount, or if there is more than one, each such amount, being an Accelerated Amount) to vest on such earlier date (or dates) (any such date, or if there is more than one, each such date, being an Acceleration Date) as may be decided by the Board.
3.4 If the Option Holder is eligible to participate in this Plan is a Leaver, any Vested Option held by such Option Holder shall be exercisable in accordance with and to the extent permitted by Rules 3.1 to3.3, and any Unvested Option shall lapse and become incapable of exercise to the extent that the Units in respect of which the Share Option was granted have not vested on or before such cessation;
3.5 If the Option Holder is eligible to participate in this Plan is a Bad Leaver, then any Option held by such Option Holder shall (whether or not the Units comprised in such Option have vested in accordance with the provisions of this Plan or not) thereupon cease to be exercisable or available for future exercise and shall lapse.

3.5 Если Держатель опциона, который вправе участвовать в настоящей Программе, приобретает статус Работника, увольняющегося в нарушение или его увольняют в результате нарушения им договорённостей, достигнутых с работодателем при приеме на работу, то любой Опцион, которым владеет Держатель опциона (вне зависимости от того, были ли предоставлены Паи, участвующие в таком Опционе в соответствии с положениями настоящей Программы), не должен исполнятся в настоящем и будущем, и прекращает действие.

Source text - English 1. DEFINITIONS AND INTERPRETATION
1.1 In this Scheme except where the context requires otherwise:
1.1.1 the words and expressions set out below shall bear the following meanings:
"Accelerated Amount": has the meaning given in Rule 3.23;
"Acceleration Date": has the meaning given in Rule 3;
"Base Value": in relation to a Unit, such amount per Unit as shall be determined by the Board of the Company in their absolute discretion as at the Grant Date of the corresponding Share Option;
"Bad Leaver" means in respect of the Option Holder, circumstances where the Option Holder has been convicted of gross misconduct, theft, fraud or other criminal acts directed against the Company in the reasonable opinion of the Board of the Company;
"Company": ХХХ, a company incorporated under the laws of the Republic of Cyprus (registration no. YYY) whose registered office is at ZZZ;
"Control": means in relation to the Company, the possession of at least fifty per cent (50%) plus one of the total Shares, or any other direct or indirect interest entitling the holder to direct the management and policies of the Company;
"Controlling Shareholder": means in relation to the Company, a shareholder with a possession of Control.
"Grant Date": in relation to any Share Option, the date on which such Share Option is granted as stated in the Share Option Certificate;
"Leaver" means an Option Holder in relation to whom a Termination Date has occurred;
"Option Holder": a person holding a Share Option or (where the context admits) his personal representatives;
"Performance Target": a performance target (or substituted performance target) as may be specified in any internal policies or regulations relating to share options as may be adopted from time to time by the Company or a Subsidiary;
"Qualifying Employee": any person who is a full-time employee or a director of the Company or any Subsidiary as at the Grant Date of the relevant Share Option;
"Shares": means the whole of the issued share capital of the Company;
"Share Option": a right exercisable subject to and in accordance with the terms of this Plan to call upon the directors of the Company to pay to the Option Holder in relation to each Unit in respect of which the right is granted a sum of money determined in accordance with the terms of this Plan;
"Share Option Certificate": a certificate issued to an Option Holder in respect of his Share Options as attached in Appendix A;
"Share Sale" any sale of existing secondary shares in the Company;
"Subsidiary": means XXX, a limited liability company incorporated in the Russian Federation with OGRN …, taxpayer ID number (INN) …, and with a registered address at YYY;
"Termination Date" means the date on which an Option Holder gives, or is given, written notice of the termination of his status as an Employee of the Company;
"Unit": a single notional unit representing one Ordinary Share and comprised in a Share Option;
"Unit Value": in relation to a Unit, an amount equal to the Value of an Ordinary Share as at the Change Date of the relevant Share Option; and
1.1.2 word in the singular includes the plural and vice versa;
1.1.3 a reference to the masculine includes the feminine and vice versa;
1.1.4 a reference to a Rule is a reference to a rule in this Plan.
1.2 A reference to a statute or statutory provision includes a reference:
1.2.1 to that statute or provision as from time to time consolidated, modified, re-enacted or replaced by any statute or statutory provision;
1.2.2 to any repealed statute or statutory provision which it re-enacts (with or without modification); and
1.2.3 to any subordinate legislation made under it.
1.3 Rule headings are inserted for ease of reference only and shall not affect construction.
2. GRANT OF SHARE OPTIONS
2.1 Share Options may be granted from time to time in the absolute discretion of the Company to such Qualifying Employees at the Grant Date as they may choose, subject to the limits contained in Rule 4.
2.2 As soon as practicable thereafter the Company shall issue to each such grantee a Share Option Certificate which shall take such form as the Company may from time to time prescribe provided that it contains the following information:
2.2.1 the number of Units in respect of which the Share Option is granted;
6. GENERAL
6.1 The decision of the Company in any dispute or question relating to any Share Option or as to whether any person is or is not a Qualifying Employee, or as to any rights or obligations of any person hereunder, or as to any question concerning the construction and effect of this Plan, or any other question in connection herewith, shall be final and conclusive.
6.2 The Company may at any time and at its discretion, resolve to terminate this Plan, in which event no further Share Options shall be granted, but the provisions of this Plan shall in relation to Surviving Options continue in full force and effect.
6.3 Under no circumstances shall any person who is a Qualifying Employee or who has at any time been an Option Holder be entitled to claim from the Company or from any company by which he is or has at any time been employed or held office, by way of compensation for loss of office or otherwise howsoever, any sum or other benefit to compensate him for the loss of any rights or benefits hereunder or in connection with this Plan.
7. ADMINISTRATION
7.1 Any notice or other documents required to be given or issued hereunder to any Option Holder shall be delivered to him or sent by post to him at his home address according to the records of his employing company or such other address as may appear to the Company to be appropriate and at his risk. Notices sent by post shall be deemed to have been given 48 hours after the date of posting.
7.2 The Company shall have power from time to time to make or vary such regulations for the implementation, administration and operation of this Plan as the Directors of the Company think fit.
8. NOTICES
8.1 Exercise Notice or other formal communications to be delivered by Qualifying Employees to the Company under, or in connection with, this Share Option Scheme, shall be in writing and signed by the Qualifying Employee.
8.2 It shall be:

(a) sent by fax to the relevant number defined hereunder; or
(b) delivered by hand or sent by prepaid recorded delivery, special delivery or registered post to the relevant address defined hereunder; or
(c) sent by e-mail to the address defined hereunder;
8.3 In each case it shall be marked for the attention of the Company set out hereunder.
Any notice given by hand delivery, fax, e-mail or post shall be deemed to have been
duly given:
(a) if hand delivered, when delivered;
(b) if sent by fax or via e-mail 24 hours after the time of dispatch; or
(c) if sent by prepaid recorded delivery, special delivery or registered post, at 10 a.m. on the seventh business day from the date of dispatch
8.4 unless there is evidence that it was received earlier.
8.5 In case of proving service, it shall be sufficient to prove that personal delivery was carried out, or that the envelope containing the communication was correctly addressed and posted or that a facsimile transmission report (or other appropriate evidence) was obtained.
9. CONFIDENTIALITY
9.1 For the purposes of this clause 9 Confidential Information means:
9.1.1 in relation to the obligations of the Investor under this clause 9 any information received or held by the Investor (or any of its Representatives) where such information relates to the Company;
9.1.2 in relation to the obligations of the Company under this clause 9 any information received or held by the Company (or any of its Representatives) where such information relates to the Investor;
9.1.3 information relating to the provisions and subject matter of this agreement and includes not only written information but information transferred or obtained orally, visually, electronically or by any other means;
9.2 Representatives means, in relation to a party, its respective affiliates and the directors, officers, employees, agents, external legal advisers, accountants, consultants and financial advisers of that party and/or of its respective affiliates.
9.3 Each of the parties undertakes that it shall (and shall procure that each of its Representatives shall) maintain Confidential Information in confidence and not disclose that Confidential Information to any person except as permitted by this clause 9 or with the prior written approval of the other parties.
9.4 Each of the parties undertakes that it shall only disclose Confidential Information to Representatives if it is reasonably required for the purposes of exercising the rights or performing the obligations under this agreement and only if the Representatives are informed of the confidential nature of the Confidential Information.

1.1.1 Указанные ниже слова и выражения имеют следующие значения:
«Досрочно взысканная сумма» имеет значение, указанное в Правиле 3.23;
«Дата досрочного взыскания» имеет значение, указанное в Правиле 3;

«Правомочный сотрудник» означает любое лицо, являющееся штатным сотрудником или директором Компании или любого Филиала на Дату предоставления соответствующего Опциона на акции;
«Акции» означают весь выпущенный акционерный капитал Компании;
«Опцион на акции» означает осуществимое право в соответствии с условиями настоящей Программы призвать директоров Компании произвести выплату Держателю опциона за каждый Пай, относительно которого предоставляется право, денежной суммы, определенной в соответствии с условиями настоящей Программы;
«Сертификат опциона на акции» означает сертификат, выданный Держателю опциона в отношении его Опциона на акции, как указано в Приложении A;
«Продажа акций» означает любую продажу существующих вторичных акций в Компании;
«Филиал» означает XXX, зарегистрированную в Российской Федерации, ОГРН …, идентификационный номер налогоплательщика (ИНН) …, расположенную по адресу: YYY;
«Дата завершения» означает дату, в которую Держатель опциона дает или получает письменное уведомление о завершении его статуса Сотрудника Компании;
«Пай» означает одну условную институциональную единицу, представляющую одну Простую акцию и участвующую в Опционе на акции;
«Стоимость пая» означает в отношении Пая сумму равную Стоимости простой акции на Дату изменения соответствующего Опциона на акции; и
1.1.2 слово в единственном числе подразумевает слово во множественном числе и наоборот;
1.1.3 ссылка на мужской род включает ссылку на женский род и наоборот;
1.1.4 ссылка на Правило является ссылкой на правило в настоящей Программе.
1.2 Ссылка на регламент или постановление закона включает ссылку на:
1.2.1 такой регламент или постановление с учетом периодических объединений, изменений, повторного введения в действие или замены любым регламентом или постановлением;
1.2.2 любой аннулированный регламент или постановление, который он повторно вводит в действие (с изменениями или без них); и
1.2.3 любые подзаконные нормативные акты, осуществленные согласно ему.
1.3 Заголовки Правил указаны только для упрощения ссылки и не влияют на содержание.
2. ПРЕДОСТАВЛЕНИЕ ОПЦИОНА НА АКЦИИ
2.1 Опцион на акции можно периодически предоставлять по абсолютному усмотрению Компании таким Правомочным сотрудникам в Дату предоставления, которую они могут выбрать согласно рамкам, указанным в Правиле 4.
2.2 В кратчайший возможный срок после этого Компания должна выдать каждому такому приобретателю Сертификат опциона на акции, который должен иметь форму, периодически утверждаемую Компанией, при условии, что он содержит следующую информацию:
2.2.1 количество Паев, в отношении которых предоставляется Опцион на акции;
6. ОБЩАЯ ИНФОРМАЦИЯ
6.1 Решение Компании в любом споре или вопросе, касающемся любого Опциона на акции или относительно того, является ли какое-либо лицо Правомочным сотрудником, или относительно прав или обязательств какого-либо лица по настоящему документу, или относительно какого-либо вопроса по созданию и действию настоящей Программы, или какого-либо другого вопроса в связи с настоящим документом, является окончательным.
6.2 Компания может в любое время и по ее усмотрению, решить прекратить настоящую Программу, в таком случае нельзя предоставлять больше никаких Опционов на акции, но положения настоящей Программы будут продолжать действовать в полную силу в отношении Остающихся в силе опционов.
6.3 Ни в коем случае какое-либо лицо, являющееся Правомочным сотрудником или когда-то бывшее Держателем опциона, не вправе требовать от Компании или от любой компании, в которой он когда-либо работал или работает, компенсацию при увольнении или какую-либо другую сумму или преимущество в качестве компенсации ему за потерю любых прав или преимуществ по настоящему документу или в связи с настоящей Программой.
7. АДМИНИСТРАТИВНЫЕ ВОПРОСЫ
7.1 Любое уведомление или другие документы, которые необходимо выдать или подготовить согласно настоящему документу любому Держателю опциона, должны быть вручены ему или отправлены ему по почте по его домашнему адресу согласно записям его компании-работодателя или по другому адресу, который компания сочтет целесообразным, на его риск. Уведомления, отправленные по почте, считаются врученными через 48 часов после отправки.
7.2 Компания вправе периодически внедрять или изменять такие инструкции для внедрения, управления и осуществления настоящей Программы, которые директоры Компании сочтут целесообразными.
8. УВЕДОМЛЕНИЯ
8.1 Уведомление о намерении Держателя опциона использовать свое право на покупку или продажу или другая официальная переписка, направляемая Правомочными сотрудниками в Компанию согласно или в связи с настоящей Программой продажи акций сотрудникам по льготной цене, должна направляться в письменной форме и быть подписана Правомочным сотрудником.
8.2 Уведомления и переписка должны быть:
(a) отправлены по факсу на соответствующий номер, указанный в настоящем документе; или
(b) доставлены вручную или отправлены предоплаченной заказной корреспонденцией, специальной доставкой или заказной почтой по соответствующему адресу, указанному в настоящем документе; или
(c) отправлены по электронной почте на адрес, указанный в настоящем документе;
8.3 В любом случае на уведомлении должна стоять отметка «Вниманию Компании», как указано в настоящем документе.
Любое уведомление, отправленное лично, по факсу, электронной почте или почте, считается должным образом врученным:
(a) если было вручено лично в момент доставки;
(b) если было отправлено по факсу или по электронной почте, то спустя 24 часа после отправки; или
(c) если было отправлено предоплаченной заказной корреспонденцией, специальной доставкой или заказной почтой, то в 10:00 на седьмой рабочий день со дня отправки,
8.4 если нет доказательства, что оно было получено ранее.
8.5 При подтверждении вручения должно быть достаточно доказать, что личная поставка была осуществлена, или что конверт с перепиской был правильно адресован и отправлен или что отчет о факсимильной передаче (или другие соответствующие доказательства) был получен.
9. КОНФИДЕНЦИАЛЬНОСТЬ
9.1 В рамках настоящего пункта 9 Конфиденциальная информация означает:
9.1.1 относительно обязательств Инвестора согласно настоящему пункту 9 - любую информацию, полученную Инвестором или имеющуюся у него (или у любого из его представителей), если такая информация касается Компании;
9.1.2 относительно обязательств Компании согласно настоящему пункту 9 - любую информацию, полученную Компанией или имеющуюся у нее (или у любого из ее представителей), если такая информация касается Инвестора;
9.1.3 информацию, касающуюся условий и предмета настоящего соглашения и включающую не только письменную информацию, но и информацию, переданную или полученную устно, визуально, в электронном виде или с помощью любых других средств;
9.2 Представители означают, в отношении стороны, ее соответствующие аффилированные компании и директоров, чиновников, сотрудников, агентов, внешних юрисконсультов, бухгалтеров, консультантов и финансовых советников такой стороны и/или ее соответствующих аффилированных компаний.
9.3 Каждая из сторон обязуется (и обязуется обеспечивать выполнение этого пункта своими представителями) хранить в тайне Конфиденциальную информацию, и не раскрывать Конфиденциальную информацию никому за исключением лиц, разрешенных настоящим пунктом 9, или при предварительном письменном согласии других сторон.
9.4 Каждая из сторон обязуется раскрывать Конфиденциальную информацию только представителям, если это будет обоснованно требоваться для осуществления прав или выполнения обязательств в соответствии с настоящим соглашением, и только если представителям будет сообщено о конфиденциальном характере Конфиденциальной информации.
10. ПРИМЕНИМОЕ ЗАКОНОДАТЕЛЬСТВО И УРЕГУЛИРОВАНИЕ СПОРОВ
10.1 Настоящее соглашение и юридические отношения, установленные или иначе возникающие в связи с ним, регулируются и интерпретируются в соответствии с законодательством Англии.
10.2 Стороны должны прилагать все разумные усилия по мировому и объективному разрешению любого Спора.
10.3 Любой Спор, не разрешенный в соответствии с пунктом 10.2 в течение тридцати (30) дней после письменного уведомления о таком Споре одной стороной другой стороны, направляется и подлежит окончательному разрешению в арбитраже согласно Регламенту Лондонского международного третейского суда (Регламент LCIA), такой Регламент считается включенным посредством ссылки в настоящий пункт. Судейская коллегия должна состоять из трех арбитров: одного арбитра, назначенного Компанией, одного арбитра, назначенного Держателем опциона, каждый из которых должны быть назначены Лондонским международным третейским судов в соответствии с Регламентом Лондонского международного третейского суда, и третьего арбитра, назначенного совместно первыми двумя арбитрами. Местом проведения арбитража является Лондон. Язык проведения арбитража - английский.
10.4 В соответствии со Статьей 28.4 Регламента Лондонского международного арбитражного суда, стороны соглашаются, что, в качестве общего принципа, проигравшая сторона любого арбитража должна оплатить все расходы на арбитраж, включая все разумные затраты, сборы и расходы другой стороны и адвоката другой стороны.
10.5 Любое решение арбитражного суда должно быть окончательным и обязательным для сторон, и каждая сторона настоящим отказывается от любого права обжалования, включая любые права подать апелляцию или обратиться к английским судам согласно разделам 45 и 69 английского Закона об арбитраже 1996 г. Любое решение арбитражного суда может быть приведено в исполнение любым компетентным судом.
10.6 Соглашаясь на арбитраж в соответствии с настоящим пунктом 10, стороны не намереваются лишить любой суд или другой государственный орган или контролирующий орган его юрисдикции, чтобы выдать временный судебный запрет или другие обеспечительные меры или оказать помощь арбитражному разбирательству или для приведения в исполнение любого решения арбитража, при условии, что стороны соглашаются, что они могут обращаться только за такими обеспечительными мерами, которые совместимы с их соглашением разрешать Споры посредством арбитража.
