يتطلب تغيير جنسية الشركة أو زيادة مساهمات حاملي الأسهم قرارات حاملي الاسهم بالإجماع، وبخلاف ذلك فلا بد من موافقة مالا يقل عن ثلاثة أرباع حاملي الأسهم رأس المال. ولا يجوز إصدار قرارات في مسائل غير متعلقةٍ بتعديل نظام الشركة الأساسي إلا عن موافقة خطية من كافة المساهمين. ويعين حاملي الأسهم ممثلين بغرض تمثيل مصالحهم في اجتماعات حملة الأسهم، وفي التصويت بالنيابة عنهم بالوكالة الخطية. وتعد الشركة سجل خاص، تسجل فيه وقائع وقرارات الجمعية العامة لحاملي الأسهم. ويوقع الحضور المساهمين على وقائع المجلس وقراراته.
المادة الرابعة عشر: السنة المالية
1) تبدأ السنة المالية الأولى منذ اليوم الأول من تاريخ تسجيل الشركة في "السجل التجاري"، وتنتهي في ، الموافق ل ولا تقل أي سنة مالية عن اثني عشر شهرا ميلادياً.
2) يعد المدير العام للشركة الميزانية العمومية السنوية، والربح & حسابات الخسارة، تقارير عن نشاط الشركة ومركزها المالي وتوصيات بشأن توزيع الأرباح. يلتزم المدير العام بإرسال صور هذه الوثائق مرفقةً بتقرير مراجع الحسابات إلى جميع حاملي الأسهم ولأدارة الشركات في وزارة التجارة والصناعة وذلك في مدة شهرين من تاريخ إصدار تلك الوثائق.
المادة: الخامس عشر: الأرباح & الخسائر
وتوزع الأرباح الصافية للشركة بعد حساب جميع النفقات كما تدفع التكاليف العامة على النحو التالي:
(1) توزع نسبة 10% من صافي الربح إلى احتياطي قانوني، حسب المطلوب بموجب المادة 176 من "قانون الشركات"، حتى يبلغ الاحتياطي نصف رأس المال.
(2) ويوزع باقي الأرباح على المساهمين أو حسب رأس المال ما لم يقرر المساهمون تكوين احتياطي آخر أو ترحيل رصيد الأرباح كليًا أو جزئيًا إلى السنة المالية التالية.
(3) يتقاسم المساهمون أي خسائر بما يتناسب مع حصة كل مساهم أو أن يرحلوا هذه المبالغ إلى السنة المالية التالية. لا تُوزع أي أرباح إلا بعد دفع أي خسائر. وفي حال إذا ما وصلت الخسائر إلى ثلاثة أرباع رأس المال، يعقد المدير العام إجتماعًا لحاملي الأسهم في غضون ثلاثين يوما من تاريخ وصول الخسائر لهذا الحد للنظر في رغبة المساهمين في حل الشركة أو إكمالها. يُصدر قرار المساهمين عملا بالمادة 173 من "قانون الشركات". وإذا استمرت الشركة في مجال الأعمال التجارية بهذه الطريقة دون حلها، يصبح المساهمون مسؤولون عن ديون الشركة أي حملة الأسهم، ويجوز لأي طرف معنى أن يتقدم لحل الشركة.
المادة: السادسة عشر التصفيــة
يتم تصفية الشركة لأي سبب من الأسباب المنصوص عليها في المادة 15 (3)، وفقا للفصل الحادي عشر من قانون الشركات على النحو التالي:
1) إعداد الموقف المالي بتاريخ قرار المساهمين بالتصفية، مختومة من قبل محاسب قانوني مرخص له بالعمل في المملكة مؤكدا على الوفاء بديونها والتزاماتها تجاه الغير.
2) تسديد أو تسوية جميع مطالبات الدائنين، وإلا فإن الشركة لا يجوز تصفية الشركة إلا بأمر من ديوان المظالم وذلك بناء على طلب الدائنين أو وفقا لقانون المحاكم التجارية.
المادة: السابعة عشر: الاخطارات
تحمل كافة الإشعارات رسالة مسجلة إلى العناوين المذكورة في السجل حصة.
المادة: الخامسة عشر أحكام عامة
1) تخضع الشركة لكافة
2) باستثناء ما نصت عليه مواد النظام الأساسي هنا، كما تخضع أنشطة الشركة لنظام الشركات.
المادة: التاسعة عشر نسخ النظام الأساسي :
اُصدر النظام الأساسي بسبعة نسخ، استلم المساهمون نسخهم وتم استخدام النسخ الباقية لتقديما للجهة المختصة بغرض إتمام التسجيل التجاري.

Translation - Arabic Thirteenth: Shareholders' Resolutions
Shareholders' resolutions to change the company's nationality or increase shareholders’ contributions must be unanimous, and otherwise shall require the consent of shareholders representing at least three-fourths of the capital. Resolutions may be issued in matters unrelated to amending the articles of association with the written consent of all shareholders. Shareholders shall appoint representatives to represent their interests at shareholders' meetings, and in voting on their behalf by written proxy. The company shall prepare a special registry in which minutes and resolutions of the shareholders' assembly shall be recorded. The shareholders attending shall sign the minutes and resolutions.
Fourteenth: Financial Year
1) The first financial year commences from the date of the company’s registration in the Commercial Registry, and expires on , corresponding to . Each financial year thereafter shall be twelve Gregorian months.
2) The general manager of the company shall prepare the annual balance sheet, profit & loss accounts, reports on company activity, financial position and recommendations on profit distribution. The general manager shall send each shareholder and the Companies' Department at the Ministry of Commerce and Industry copies of these documents, along with a copy of auditor's report, within two months of issuance.
Fifteenth: Profits & Losses
The company's net profits shall be distributed after all expenses and general costs have been paid as follows:
(1) 10% of net profits shall be contributed to a statutory reserve, as required under Article 176 of the Companies Law, until the reserve reaches half of the capital.
(2) The remainder shall be distributed to the shareholders or into capital, unless the shareholders decide to form another reserve or carry some or all of the profits forward to the next financial year.
(3) The shareholders shall share any losses in proportion to each shareholder’s interest, or carry these forward to the next financial year. Profits may be distributed only after any losses have been made up. If losses reach three-fourths of the capital, the general manager shall convene the shareholders within thirty days from the date when the loss reached that level to consider whether to continue or dissolve the company. The shareholders' resolution must be issued pursuant to Article 173 of the Companies Law. If the company continues in business without resolving to continue in this manner, the shareholders shall become liable for any company debts, and any concerned party may apply to dissolve the company.
Sixteenth: Liquidation
The company shall be liquidated for any of the reasons set forth in Article 15 (3) and in accordance with Chapter Eleven of the Companies Law, as follows:
1) Prepare financial position on the date of shareholders' resolution to liquidate, certified by a chartered accountant licensed to work in the Kingdom confirming the company's ability to honor its liabilities and debts towards third parties.
2) Pay or settle all creditors' claims, failing which the company may only be liquidated by order of the Board of Grievances upon application by creditors or in accordance with the Commercial Courts Law.
Seventeenth: Notices
All notices shall be by registered letter to the addresses stated in the share registry.
Eighteenth: General
1) The company shall be subject to applicable Saudi laws.
2) Except as provided in these articles of association, the company’s activities shall be governed by the Companies Law.
Nineteenth: Counterparts
These articles of association have been issued in seven copies, one delivered to each shareholder and the others for use before the competent authorities to complete Commercial Registration.
The shareholders have authorized Mohamed Alsharif, Attorneys & Counselors at Law, to complete all procedures required to register the company, follow-up with concerned authorities and represent the shareholders in such registration formalities.

Appeals by Cassation Nos. 126 and 145 of 2009 – civil appeal by cassation
(1- 4) Commercial business “brokerage” – contract “brokerage contract” – court of first instance “its power to comprehend the facts and assess evidence and documents” “its power to assess testimony of witnesses” “its power to deduct the brokerage business”.
(1) Brokerage contract – its nature – S. 327 of the Law of Commerce No 26 of 2007, corresponding to Section 324 of the previous Civil Law No 16 of 1971.
(2) Deducing the role of a person as broker or contract party in a deal – fact – exclusive power of the first instance court – its condition – that it be reasonable, having its basis in the documents and sufficient to support its conclusions – (an example of reasonable deduction relating to the establishment of brokerage business).
(3) The judge of the first instance has full power to examine and weight evidence and documents inter se, and prefer whatever it deems convincing, or representing the fact in the claim, without scrutiny by the Cassation Court – its condition – that such deduction be reasonable.
(4) Assessing the testimony of witnesses – among the powers of the first instance court – may rely on some of their testaments, or the testaments of one of them, and disregarding others, subject to what it deems convincing, with no duty to state its preference of such testaments and disregard of others – (an example on the brokerage contract).
1- The provisions of Section 327 of the Law of Commerce No 26 of 2007, corresponding to Section 324 of the previous Civil Law No 16 of 1971, is that brokerage is a contract by virtue of which a broker undertakes, as regards one person, to look for another party for the conclusion of a certain contract, and to mediate in the contracting negotiations, for a consideration should his mediation result in the conclusion of such contract between the two parties.
2- The deduction of the role of a person as broker or contracting party in a deal is a matter of fact that falls within the exclusive jurisdiction of the first instance court, with no scrutiny, so long as its deduction is reasonable and based on established documentary grounds sufficient to support its conclusions. The judgment appealed against by cassation concluded in the establishment of brokerage business, and that the Respondent Company was not party to the contracting agreement that was the subject-matter of such brokerage, which did not include any signature indicating partnership. This could not be negated by such company obtaining a job from any contracting party and its application to such parties, nor does this negate the right of the Respondent to consideration for the brokerage. Such deduction is reasonable, with established documentary grounds, which include an implicit response to its contrary.
3- It is established jurisprudence of this Court that the first instance judge has full power to examine and weight evidence and documents inter se, and prefer whatever it deems convincing, or representing the fact in the claim, without scrutiny by the Cassation Court so long as such deduction is reasonable.
4- It is established jurisprudence of this Court is that the assessment of the testimonies of witnesses falls within the exclusive jurisdiction of the first instance court. It has the right to rely on some rather than the other of their testaments, or on the testament of one or more witnesses rather than the other, subject to whatever it deems convincing, with no duty to state the reasons of its preference of some and disregard of others. It is established by the first instance judgment, which was confirmed by the judgment appealed against by cassation, that based on the testimony of witnesses the court found the existence of a brokerage contract between the Appellant and the Respondents. The Appellant procured the contract concluded with (…) Company, in which it mediated. The judgment stated that it was established before it that no agreement was made on a consideration for such job rendered by the Appellant. This means that the court relied on the witnesses of the Appellant in relation to the existence of a brokerage contract but disregarded other testaments relating to the consideration for such brokerage, which it assessed, in application of its right to rely on some of what it regards as convincing among the testaments of witnesses, and disregard others.
The Court
Having reviewed the documents, and having heard the report read out by the Judge-Rapporteur, and heard the submissions, and after the deliberations;
Whereas the appeal by cassation has satisfied its formalities;
The facts, as revealed in the judgment appealed by cassation and other documents, may be summed up as follows. The Respondent Company in the appeal by cassation No 126/2009 brought the claim No 484/2008 civil – general – applying for a judgment ordering the Appellants to pay to it the amount of 3,600,000 Riyals, and the amount of one million Riyals in compensation. It stated that an agreement was concluded with the two Appellants to conduct brokerage and negotiations to complete a contract between the First Appellant and (…) Company for the establishment of a housing project for 1000 workers, inclusive of services, meals, drinking water, and sewerage removal. The agreement included its right to the amount of 3,600,000 Riyals as consideration for brokerage in the case of contract conclusion. Having rendered the said brokerage which resulted in the conclusion of the contract on 20.3.2007, the Appellants refused to pay the consideration due for the brokerage. It accordingly brought the claim. The court referred the case for investigation, heard the witnesses and issued a judgment ordering the Appellants to pay to the Respondent the amount of 250,000 Riyals. The Respondent lodged an appeal No 452/2009 and the Second Appellant likewise lodged an appeal No 471/2009. The court combined the two appeals and on 23.6.2009 it issued a judgment dismissing both appeals and confirming the judgment appealed against. The two Appellants in the first appeal by cassation lodged an appeal by cassation No 126/2009, and their opponent lodged an appeal by cassation No 145/2009. The two appeals by cassation were presented before this Court, at the deliberations chamber, which decided to combine the second of such two appeals to the first and fixed a session for their consideration.
First: Appeal by Cassation No 126/2009:
This appeal is based on two reasons. The two Appellants contend against the judgment appealed against by cassation that it erred in the application of the law and involved deficient reasoning. They stated that the said judgment declared the right of the Respondent Company to consideration for the brokerage, based on the testimony of the latter’s witnesses, which contradicted what was established by the brokerage contracting agreement, the subject-matter of the brokerage. It has also obtained some of the contracting, as stated in the reasons of the judgment, and that this makes it a party to the contracting agreement with no right to receive consideration for its brokerage. Having ruled contrary to the aforesaid, the judgment becomes defective and worthy of cassation.
This contention is inadmissible. The provisions of Section 327 of the Law of Commerce No 26 of 2007, corresponding to Section 324 of the previous Civil Law No 16 of 1971, is that brokerage is a contract by virtue of which a broker undertakes, as regards one person, to look for another party for the conclusion of a certain contract, and to mediate in the contracting negotiations, for a consideration should his mediation result in the conclusion of such contract between the two parties. The deduction of the role of a person as broker or contracting party in a deal is a matter of fact that falls within the exclusive jurisdiction of the first instance court, with no scrutiny, so long as its deduction is reasonable and based on established documentary grounds sufficient to support its conclusions. The judgment appealed against by cassation concluded in the establishment of brokerage business, and that the Respondent Company was not party to the contracting agreement that was the subject-matter of such brokerage, which did not include any signature indicating partnership. This could not be negated by such company obtaining a job from any contracting party and its application to such parties, nor does this negate the right of the Respondent to consideration for the brokerage. Such deduction is reasonable, with established documentary grounds, which include an implicit response to its contrary. Accordingly, contention against the judgment under the two reasons of the appeal is no more than substantial argumentation on a matter within the exclusive jurisdiction of the first instance court, which should not be raised before the Cassation Court. Such contention is therefore baseless.
Secondly: Appeal by Cassation No 145/2009:
This appeal by cassation is based on four reasons. The Appellant contends against the judgment appealed against by cassation that it erred in the application of the law and involved deficient reasoning and contradiction with established documentary evidence. It stated that it agreed with the Respondent on brokerage business for an amount of 3,600,000 Riyals. It applied for reference to investigation in order to establish the existence of the agreement. The first instance court responded by hearing the witnesses of the two parties. It stated in the reasons of its judgment that it was convinced by the testimony of the witnesses, but it relied on some and disregarded the other testaments. It did not believe in the agreed consideration as stated by the witnesses and concluded by assessing such consideration as represented by the judgment amount, while this should not be the case except where such brokerage consideration is specified in the agreement of the contracting parties. Since the judgment appealed against confirmed the first instance judgment with no scrutiny thereon regarding the discrimination by the first instance court of the testaments of witnesses, and the contradiction of reasons, such judgment becomes defective and worthy of cassation.
This contention is inadmissible. It is established jurisprudence of this Court that the first instance judge has full power to examine and weight evidence and documents inter se, and prefer whatever it deems convincing, or representing the fact in the claim, without scrutiny by the Cassation Court so long as such deduction is reasonable. It is also established that the assessment of the testimonies of witnesses falls within the exclusive jurisdiction of the first instance court. It has the right to rely on some rather than the other of their testaments, or on the testament of one or more witnesses rather than the other, subject to whatever it deems convincing, with no duty to state the reasons of its preference of some and disregard of others. It is established by the first instance judgment, which was confirmed by the judgment appealed against by cassation, that based on the testimony of witnesses the court found the existence of a brokerage contract between the Appellant and the Respondents. The Appellant procured the contract concluded with (…) Company, in which it mediated. The judgment stated that it was established before it that no agreement was made on a consideration for such job rendered by the Appellant. This means that the court relied on the witnesses of the Appellant in relation to the existence of a brokerage contract but disregarded other testaments relating to the consideration for such brokerage, which it assessed, in application of its right to rely on some of what it regards as convincing among the testaments of witnesses, and disregard others. The reasons for this appeal by cassation revolve around this deduction, and on the discretionary power of the first instance court, for the purposes of reaching a conclusion different from that reached by the judgment. This may not permissibly be raised before the Cassation Court, and the entire contention becomes inadmissible.

(3) لقاضي الموضوع السلطة التامة في بحث الدلائل والمستندات وموازنة بعضها بالبعض الآخر وترجيح ما تطمئن إليه نفسه منها وما يرى أنه واقع الدعوى دون رقابة من محكمة التمييز. شرطه. أن يكون استخلاصه سائغاً.
(4) تقدير أقوال الشهود. من سلطة محكمة الموضوع. لها أن تأخذ ببعض أقوالهم دون البعض الآخر وبأقوال واحد أو أكثر منهم حسبما تطمئن إليه دون أن تلتزم ببيان ترجيحها لما أخذت به وإطراحها لغيره. (مثال في عقد سمسرة).
1- مفاد نص المادة (327) من قانون التجارة رقم (26) لسنة 2007- المقابلة للمادة (324) من القانون المدني السابق رقم (16) لسنة 1971- أن السمسرة عقد يتعهد بمقتضاه السمسار لشخص بالبحث عن طرف ثان لإبرام عقد معين وبالوساطة في مفاوضات التعاقد مقابل أجر يستحق عن وساطته إذا ما أدت إلى إبرام العقد بين الطرفين.
2- استخلاص دور الشخص كسمسار في الصفقة أو متعاقد في شأنها هو من مسائل الواقع التي تستقل محكمة الموضوع بها بغير معقب ما دام استخلاصها سائغاً وله أصله الثابت بالأوراق وكافياً لحمل ما انتهت إليه. لما كان ذلك، وكان الحكم المطعون فيه انتهى إلى ثبوت أعمال الوساطة وأن الشركة المطعون ضدها لم تكن طرفاً في عقد المقاولة محل الوساطة ولا يوجد فيه توقيع يفيد الشراكة، ولا يغير من ذلك حصولها على عمل من أي من طرفي التعاقد وسريانه بين طرفيه، وأن ذلك لا ينفي استحقاق المطعون ضدها أجر السمسرة، وهو استخلاص سائغ وله أصله الثابت بالأوراق وفيه الرد الضمني المسقط لما يخالفه.
3- المقرر- في قضاء هذه المحكمة- أن لقاضي الموضوع السلطة التامة في بحث الدلائل والمستندات وفي موازنة بعضها بالبعض الآخر وترجيح ما تطمئن نفسه إلى ترجيحه منها وفي استخلاص ما يرى أنه واقعة الدعوى دون رقابة عليه في ذلك من محكمة التمييز متى كان استخلاصه سائغاً.
4- المقرر- في قضاء هذه المحكمة- أن تقدير أقوال الشهود هو ما تستقل به محكمة الموضوع لها أن تأخذ ببعض أقوالهم دون البعض الآخر وبأقوال واحد أو أكثر من الشهود دون غيرهم حسبما تطمئن إليه من غير أن تكون ملزمة ببيان أسباب ترجيحها لما أخذت به وإطراحها لغيره. لما كان ذلك، وكان الثابت بالحكم الابتدائي المؤيد بالحكم المطعون فيه أنه ثبت للمحكمة من أقوال الشهود وجود عقد سمسرة بين الطاعنة والمطعون ضدهما وتوصلت الطاعنة لإبرام العقد المحرر مع شركة ( ) الذي توسطت فيه، ثم أورد الحكم أن الثابت للمحكمة عدم الاتفاق على أجر عن هذا العمل الذي قامت به الطاعنة، ومفاد ذلك أن المحكمة أخذت بأقوال شهود الطاعنة في خصوص قيام عقد السمسرة دون ما تضمنته من أقوال بخصوص أجر السمسرة الذي قدرته إعمالاً لحقها في الأخذ ببعض ما تطمئن إليه من أقوال الشهود دون البعض الآخر.

المحكمة
بعد الاطلاع على الأوراق وسماع التقرير الذي تلاه السيد القاضي المقرر والمرافعة وبعد المداولة.
حيث إن الطعن استوفى أوضاعه الشكلية.
وحيث إن الوقائع - على ما يبين من الحكم المطعون فيه وسائر الأوراق- تتحصل في أن الشركة المطعون ضدها في الطعن رقم 126/2009 أقامت الدعوى رقم 484/2008 مدني كلي بطلب الحكم بإلزام الطاعنين بأن يؤديا لها مبلغ 3,600,000 ريال ومبلغ مليون ريال كتعويض. وقالت بياناً للدعوى إنه بناء على اتفاق مع الطاعنين للقيام بأعمال الوساطة والتفاوض لإنهاء عقد بين الطاعنة الأولى وشركة (ــــ) لإنشاء سكن لألف عامل مع توفير الخدمات ووجبات غذائية ومياه الشرب ونقل مياه المجاري وتضمن الاتفاق استحقاقها لمبلغ 3,600,000 ريال كأجر سمسرة في حال إتمام التعاقد، وبعد إنجازها أعمال الوساطة ونتيجة مجهوداتها تم إبرام العقد في 20/3/2007 إلا أن الطاعنين امتنعا عن دفع أجر السمسرة المتفق عليه والمستحق لها فأقامت الدعوى. أحالت المحكمة الدعوى إلى التحقيق وبعد سماع الشهود حكمت بإلزام الطاعنين بأن يؤديا للمطعون ضدها مبلغ 250,000 ريال. استأنف المطعون ضدها برقم 452/2009 كما استأنفه الطاعن الثاني برقم 471/2009 وبعد أن ضمت المحكمة الاستئنافين قضت بتاريخ 23/6/2009 برفضهما وتأييد الحكم المستأنف. طعن الطاعنان في الطعن الأول بالتمييز برقم 126/2009 كما طعنت خصيمتهما بالطعن رقم 145/2009. عرض الطعنان على هذه المحكمة- في غرفة المشورة- فقررت ضم الطعن الثاني إلى الطعن الأول وحددت جلسة لنظرهما.
أولاً: الطعن رقم 126/2009:
وحيث إن الطعن أقيم على سببين ينعى الطاعنان بهما على الحكم المطعون فيه الخطأ في تطبيق القانون والقصور في التسبيب، وفي بيان ذلك يقولان إن الحكم قضى باستحقاق الشركة المطعون ضدها لأجر السمسرة مستنداً لأقوال شهود الأخيرة التي جاءت متناقضة مع الثابت بعقد المقاولة محل السمسرة كما أنها حصلت على جزء من المقاولة وهو ما أورده الحكم في أسبابه بما يجعلها طرفاً في عقد المقاولة ولا تستحق معه أجراً عن وساطتها، وإذ قضى الحكم بما يخالف ذلك فإنه يكون معيباً ويستوجب تمييزه.
وحيث إن هذا النعي مردود، ذلك أن مفاد نص المادة (327) من قانون التجارة رقم (26) لسنة 2007- المقابلة للمادة (324) من القانون المدني السابق رقم (16) لسنة 1971- أن السمسرة عقد يتعهد بمقتضاه السمسار لشخص بالبحث عن طرف ثان لإبرام عقد معين وبالوساطة في مفاوضات التعاقد مقابل أجر يستحق عن وساطته إذا ما أدت إلى إبرام العقد بين الطرفين، وأن استخلاص دور الشخص كسمسار في الصفقة أو متعاقد في شأنها هو من مسائل الواقع التي تستقل محكمة الموضوع بها بغير معقب ما دام استخلاصها سائغاً وله أصله الثابت بالأوراق وكافياً لحمل ما انتهت إليه. لما كان ذلك، وكان الحكم المطعون فيه انتهى إلى ثبوت أعمال الوساطة وأن الشركة المطعون ضدها لم تكن طرفاً في عقد المقاولة محل الوساطة ولا يوجد توقيع يفيد الشراكة، ولا يغير من ذلك حصولها على عمل من أي من طرفي العقد بعد إتمام التعاقد وسريانه بين طرفيه، وأن ذلك لا ينفي استحقاق المطعون ضدها أجر السمسرة، وهو استخلاص سائغ وله أصله الثابت بالأوراق وفيه الرد الضمني المسقط لما يخالفه، فإن النعي على الحكم بما ورد بسببي الطعن لا يعدو أن يكون جدلاً موضوعياً فيما تستقل محكمة الموضوع بتقديره مما لا تجوز إثارته أمام محكمة التمييز، ويضحى النعي غير قائم على أساس.
ثانياً: الطعن رقم 145/2009:
حيث إن الطعن أقيم على أربعة أسباب تنعى بها الطاعنة على الحكم المطعون فيه الخطأ في تطبيق القانون والقصور في التسبيب ومخالفة الثابت بالأوراق، وفي بيان ذلك تقول إنها اتفقت مع المطعون ضدهما على أعمال السمسرة مقابل مبلغ 3,600,000 ريال وطلبت الإحالة إلى التحقيق لإثبات الاتفاق وأجابتها محكمة أول درجة بسماع شهود الطرفين وأوردت بأسباب الحكم اطمئنانها لأقوال شهودها إلا أنها أخذت ببعض الأقوال دون باقيها، إذ لم تعتد بالأجر المتفق عليه والثابت بأقوال شهودها وانتهت لتقديره بالمبلغ المحكوم به حال أن ذلك لا يكون إلا عند عدم تعيين أجر السمسرة في اتفاق المتعاقدين، وإذ انتهى الحكم المطعون فيه إلى تأييد قضاء محكمة أول درجة دون أن يعمل رقابته في خصوص تجزئة محكمة أول درجة لأقوال الشهود وتناقض الأسباب، فإنه يكون معيباً ويستوجب تمييزه.
وحيث إن هذا النعي مردود، ذلك أن المقرر- في قضاء هذه المحكمة- أن لقاضي الموضوع السلطة التامة في بحث الدلائل والمستندات وفي موازنة بعضها بالبعض الآخر وترجيح ما تطمئن نفسه إلى ترجيحه منها وفي استخلاص ما يرى أنه واقعة الدعوى دون رقابة عليه في ذلك من محكمة التمييز متى كان استخلاصه سائغاً- ومن المقرر أيضاً أن تقدير أقوال الشهود هو مما تستقل به محكمة الموضوع ولها أن تأخذ ببعض أقوالهم دون البعض الآخر وبأقوال واحد أو أكثر من الشهود دون غيرهم حسبما تطمئن إليه من غير أن تكون ملزمة ببيان أسباب ترجيحها لما أخذت به وإطراحها لغيره. لما كان ذلك، وكان الثابت بالحكم الابتدائي المؤيد بالحكم المطعون فيه أنه ثبت للمحكمة من أقوال الشهود وجود عقد سمسرة بين الطاعنة والمطعون ضدهما وتوصلت الطاعنة لإبرام العقد المحرر مع شركة (ـــــ) الذي توسطت فيه ثم أورد الحكم أن الثابت للمحكمة عدم الاتفاق على أجر عن هذا العمل الذي قامت به الطاعنة، ومفاد ذلك أن المحكمة أخذت بأقوال شهود الطاعنة في خصوص قيام عقد السمسرة دون ما تضمنته من أقوال بخصوص أجر السمسرة الذي قدرته إعمالاً لحقها في الأخذ ببعض ما تطمئن إليه من أقوال الشهود دون البعض الآخر، وإذ كانت أسباب الطعن تدور حول هذا الاستخلاص وفي سلطة محكمة الموضوع التقديرية بغية الوصول إلى نتيجة خلاف ما انتهى إليها الحكم مما لا يجوز إثارته أمام محكمة التمييز، ويضحى النعي برمته غير مقبول.
