Im Inland ansässige Anleger
Für Anleger, die Aktien im Privatvermögen halten, ergeben sich ab 2009 die folgenden Änderungen: Das Halbeinkünfteverfahren wird abgeschafft. Es wird eine Abgeltungssteuer auf Kapitaleinkünfte eingeführt. Danach unterliegen Dividenden einem einheitlichen Steuersatz von 25% zuzüglich Solidaritätszuschlag (insgesamt 26,375%). Die Steuer wird durch Einbehalt von Kapitalsertragsteuer bei der Kapitalgesellschaft mit abgeltender Wirkung erhoben, d.h. die einbehaltene Steuer ist unabhängig vom individuellen Steuersatz des Anlegers definitive. Werbungskosten im Zusammenhang mit den privaten Kapitaleinkünften sind generell nicht mehr abzugsfähig. In bestimmten Fällen ist es möglich, eine Veranlagung zum normalen Einkommensteuertarif durschzuführen, so unter anderem im Hinblick auf Anleger mit einem niedrigen Grenzsteuersatz. Allerdings bleibt es auch dann beime Werbungskostenabzugsverbot.
Der Sparerpauschbetrag beträgt ab 2009 jährlich EUR 801,00 (bzw. EUR 1.602,00 bei zusammen veranlagten Ehegatten). Die Werbungskostenpauschale entfält.
Werden die Anteile im Betriebsvermögen gehalten, so richtet sich die Besteuerung des Gewinns aus der Veräβerung danach, ob der Anleger eine Kapitalgesellschaft, ein Einzelunternehmer order eine Personengesellschaft ist:
Kapitalgesellschaft
Bei Kapitalgesellschaften ändert sich gegenüber der Rechtslage in 2008 nichts.
Einzelunternehmer
Bei Einzelunternehmer warden künftig 60% der Dividenenzahlungen besteuert. Entsprechend sind auch nur 60% der mit den Dividendeneinnahmen in wirtschaftlichem Zusammenhang stehenden Betriebsausgaben (vorbehaltlich sonstiger Abzugsbeschränkungen) steuerlich abzugsfähig (sog. Teileinkünfteverfahren). Das Halbeinkünfteverfahren entfällt. Hinsichtlich der Gewerbsteuer ändert such gegenüber der Rechtslage in 2008 nichts, d.h. soweit die Veräβerungsgewinne steuerfrei sind, werden sie bei der Gewerbesteuer hinzugerechnet.
Personengesellschaft
Werden die Aktien von einer Personengesellschaft gehalten, fällt Einkommen- oder Körperschaftsteuerpflichtigen Gesellschaftern ist die Dividendenzahlung grundsätzlich zu 95% steuerbefreit, tatsächlich angefallene Betriebsausgaben sind abziehbar. Unterliegt der Gesellschafter der Einkommensteuer, sow erden 60% der Dividende besteuert und es sind auch nur 60% der mit den Dividenden im Zusammenhang stehenden Betriebsausgaben abziehbar (sog. Teileinkünfteverfahren). Das Halbeinkünfteverfahren entfällt. Hinsichtlich der Gewerbsteuer ändert sich gegenüber der Rechtslage in 2008 nichts.
Im Ausland ansässige Anleger
Die Kapitalgesellschaft muss ab 2009 auch bei der Auszahlung der Dividende ins Ausland grandsätzlich Abgeltungssteuer in Form von Kapitalertragsteuer in Höhe von 25% zuzüglich Solidaritätszuschlag in Höhe von 5,5% darauf (insgesamt 26,375%) einbehalten. Die Steuerbelastung kann sich allerdings aufgrund von Regelungen von Doppelbesteuerungsabkommen reduzieren.
Translation - English Changes to the Taxation of Dividends as of 2009
Investors residing in this country
As of 2009, the following modifications result for investors holding stock in private assets: the 50% dividend taxation rule will be abolished. A flat rate tax on investment income will be implemented. Accordingly, dividends are subject to the standard tax rate of 25% plus a solidarity tax (totaling 26.375%). The tax will be imposed via retention money from capital gains tax for the stock corporations with desired effect. This means that the withholding tax is definitively independent from the individual tax rates of the investor. Income related expenses in conjunction with private investment income are generally no longer deductible. In certain situations it is possible to implement an assessment value for the normal tax rate, so that among other things with regard to the investors, they face a lower marginal tax rate. However, income related expenses remain non-deductible in these situations.
The saver’s tax exempt interest income amounts to EUR 801.00 annually as of 2009 (respectively EUR 1,602.00 for married couples assessed jointly). The income related expenses flat rate does not apply.
When the shares are being held in fixed assets, the investor follows the specifications below whether they are a stock corporation, a sole proprietorship or a private company to comply with the taxation on capital gains:
Stock Corporation
Stock Corporations are not being changed in comparison with their legal position in 2008.
Sole Proprietorship
In the future, 60% of dividend payments will be taxed for sole proprietorships. Correspondingly, only 60% of those with dividend income in financial connection to regular operating expenses (subject to other deduction restrictions) are also tax deductible (so-called partial dividend taxation rule). The 50% dividend taxation rule does not apply. Concerning the excise tax, it is not being changed in comparison with their legal position in 2008. This means as long as the capital gains are tax free, it will be added on with the excise tax.
Private Company
When the stock is being held by a private company, income or corporate income tax applies solely on the level of the stockholder. For the corporate income tax bound stockholder, the dividend payment is basically up to 95% tax exempt. In fact, accrued operating expenses are deductible. The stockholder is subject to income tax, so that 60% of dividends will be taxed and only 60% of those with dividend income in connection to regular operating expenses are also deductible (so-called partial dividend taxation rule). The 50% dividend taxation rule does not apply. Concerning the excise tax, it is not being modified in comparison with their legal position in 2008.
Investors residing abroad
With the disbursement of dividends abroad as of 2009, the stock corporation must also basically withhold a flat rate tax in the form of a withholding tax in the amount of 25% plus a solidarity tax in the amount of 5.5% (totaling 26.375%). The tax burden can, however, be reduced on the basis of the double tax agreement policy.

Source text - German Ziel des Executive Stock Option Program 2003 ist es, Führungskräfta und Mitarbeiter starker am Unternehmenserfolg zu beteiligen und an das Unternehmen zu binden. MUSTER AG hat dies bereits schon 1997 zum Anlass genommen, ein Beteiligungsprogramm auf der Grundlage von Wandelschuldverschreibungen anzubieten. Aufgrund der neuen rechtlichen Möglichkeiten kann erstmals ein Beteiligungsprogramm in Form von “Naked Options” angeboten werde. “Naked Options” sind Bezugsrechte auf neue (junge) Aktien, die durch eine Kapitalerhöherung entstehen. Die Einräumung dieser Optionsrechte ist im Gegensatz zu den früheren Beteiligungsprogrammen nicht mit der Ausgabe von Schuldverschreibungen verbunden.
Insgesamt werden für das Executive Stock Option Program 2003 (“ESOP 2003”) 3.400.000 Stückaktien im Wert von 4.420.000 Euro des Grundkapitals aufgewendet.
Bezugsberechtigte
Der Kreis der Berechtigen und der Umfang der jeweiligen Optionsrechte warden durch den Vorstand der MUSTER AG und, soweit Mitglieder des Vorstands der MUSTERS AG betroffen sind, durch den Aufsichtsrat festgelegt.
Vorteile
Wie auch be idem vorigen ESOP Programm erhalten die Teilnehmer von ESOP 2003 in enger Anbindung am Unternehmenserfolg eine langfristig angelegte Einkommenschanche. Die Zeichnung einer Wandelschuldverschreibung und eine eigene Einlage entfallen.
Laufzeit
Das Recht zur Ausübung der Optionsrechte endet spätestens sieben Jahre nach dem Tag der jeweiligen Ausgabe. Bis zu diesem Zeitpunkt nicht ausgeübte Optionsrechte verfallen ersatzlos.
Jährliche Tranchen und Erwerbszeiträume
Dis Ausgabe der Optionsrechte wird auf mindestens drei, aber nicht mehr als vier Geschäftsjahre verteilt. Beginnend am sechsten Börsenhandelstag nach Veröffentlichung der jeweiligen Quartalsberichte durch die Gesellschaft kann die Ausgabe der Optionsrechte innerhalb eines Zeitraums von zwei Monaten erfolgen. Als Tag der Ausgabe gilt der Tag der Zuteilung der Optionsrechte an die Bezugsberechtigten.
Bezugsrecht
Die Teilnehmer sind berechtigt, je übertragenes Optionsrecht eine neue Stückaktie der Gesellschaft zum Ausübungspreis zu erwerben. Die Gesellschaft kann bei Optionsausübungen wahlweise eigene Aktien der MUSTER AG liefern oder die Verpflichtung zur Aktienbeschaffung durch Zahlung des Differenzbetrags je Aktie zwischen dem Ausübungspreis und dem XETRA-Schlusspreis am Tag der Ausübung (Barausgleich) erfüllen.
Neue Aktien, die aufgrund der Ausübung von Optionsrechten ausgegeben werden, sind erstmals für das Geschäftsjahr dividendenberechtigt, für das zum Zeitpunkt ihrer Entstehung noch keine Hauptversammlung zur Entgegennahme des Jahresabschlusses stattgefunded hat.
Wartezeiten und Ausübungszeiträume
Die Optionsrechte können frühestens nach Ablauf der folgenden Wartezeiten ausgeübt werden:
Die erste Hälfte der jeweils gewährten Optionsrechte kann frühstens zwei Jahre nach dem Tag der Ausgabe der jeweiligen Optionsrehcte ausgeübt werden. Das nächste Viertel steht frühestens drei Jahre und das verbleibende Viertel frühestens vier Jahre nach dem Tag der Ausgabe der jeweiligen Optionsrechte zur Ausübung zur Verfügung.
Translation - English The goals of the Executive Stock Option Program 2003 are to encourage participation from management and employees in the company’s success and to bond them with the company. MUSTER AG [a stock corporation] has already offered this employee participation program since it formed in 1997 based on convertible bonds. As a result of the new legal possibilities, an employee participation program will be offered for the first time in the form of “Naked Options.” “Naked Options” are subscription rights to new/recent stocks which are generated through an increase in capital. The granting of these option privileges is not connected with the issuance of bonds in contrast to the previous employee participation programs.
In total, 3,400,000 no-par value shares in the amount of 4,420,000 euro of the registered capital are applied for the Executive Stock Option Program 2003 (ESOP 2003).
Beneficiary
The circle of beneficiaries and volume of the respective option privileges will be determined through the MUSTER AG’s management board members and by members of the board, if concerned.
Advantages
Just as it was with the previous ESOP, the participants in ESOP 2003 feel a tighter connection with the company’s success for a long-term invested earning possibility. The subscription of convertible bonds and one’s own contribution to capital are omitted.
Period of Validity
The right to exercise the option privileges ends no later than seven years after the respective date of issue. Up to this point, unused option privileges expire without substitution.
Annual Tranches and Acquisition Periods
The issuance of option privileges will be distributed at a minimum of three, but not more than four fiscal years. Starting on the sixth day of stock market trading after the publication of the respective quarterly report, the issuance of option privileges through the company can occur within a time period of two months. The day of allocation of the option privileges is imperative as the day of issuance for the beneficiary.
Subscription Rights
The participant is entitled to acquire a new no-par share of the company at a preferential price for every assigned option privilege. The company can electively supply its own MUSTER AG shares by exercising an option. Otherwise, the company can fulfill its stock acquisition obligation by paying the difference between the preferential price and the Xetra closing price on the day applied for each stock (cash settlement).
New shares issued for the purpose of exercising option privileges are entitled to a dividend for the first time in the fiscal year when no shareholders’ meeting had taken place yet to accept the annual financial statement at the time of the share’s formation.
Waiting Period and the Period to Exercise
At the earliest, the option privileges can be exercised upon the expiration of the following waiting periods:
The first half of the respective waited for option privileges can be exercised two years after the date of issue for these respective option privileges at the earliest. The next quarter can be made available after three years at the earliest and the remaining quarter after four years from the date of issue of the respective option privileges.
