Introduction
This report was commissioned by ACD Insurance Company and prepared following a 3 day site visit to EFD Oil Refinery from 15 th to 17 th August, 2001 .
The surveyor was accompanied by ACD Insurance Company, Moscow representatives who facilitated interviews with refinery personnel to assess the risk.
Insured plant replacement values have been prepared using information from ZNZ Ltd. own database. The Estimated Maximum Losses were calculated by assessment of physical damage loss scenarios for critical plant areas.
Description of Facilities
The EFD Oil Refinery has a crude oil processing capacity of 4,250,000 tonnes per annum and is currently processing about 3,900,000 tonnes per annum. Throughput did fall steeply during the 1990s, but has been stable and increasing over the course of the last few years.
The refinery comprises three atmospheric distillation units and a naphtha reforming unit.
The refinery currently has sufficient crude oil storage capacity for 4 days of operation, but typically stores less than one day's throughput on site.
All of the refinery's products, except LPG, are transferred by pipeline to the neighbouring oil products terminal, from where they are transported to the consumers. The terminal is owned and operated by another subsidiary of XYZ Company . Most of the refinery's diesel fuel and fuel oil is exported into the Mediterranean area. LPG is stored on site in six 100 m 3 bullets, located in a protected position in the far north of the site. A single road loading point is located near them.
The refinery was built in accordance with Soviet/Russian standards and domestic technology was used in all of the process units. Most units were originally designed by Soviet companies and the equipment was supplied from the former Soviet Union . Some recently installed equipment has been supplied from overseas.
Russian computerised distributed control systems are used to control parts of all of the process units. Only the heaters and the naphtha stabilisation section of the atmospheric distillation column are controlled via these systems. All of the naphtha reforming unit, except the hydrotreating section, is controlled by such a system. The power station is also controlled via a distributed control system.

Данный отчет был поручен страховой компании ACD и подготовлен после трехдневного посещения Нефтеперабатывающего завода EFD в период с 15-го по 17-ое августа 2001 г.
Инспектор сопровождался московскими представителями страховой компании ACD, которые оказывали помощь в проведении интервью с персоналом завода с целью оценки рисков.
Восстановительная стоимость застрахованного оборудования была рассчитана с использованием информации базы данных компании ООО "ZNZ". Вероятный максимальный убыток был вычислен по итогам оценки сценариев потерь от физических повреждений, выполненных для особо критических участков завода.
Описание объектов
Нефтепереабатывающий завод EFD обладает способностью перерабатывать 4 250 000 тонн сырой нефти в год, и в настоящее время перерабатывает приблизительно 3 900 000 тонн в год. Производительность завода в 1990-ых гг. сильно упала, но была устойчивой и увеличилась в течение прошлых нескольких лет.
Нефтепереабатывающий завод включает в себя три узла атмосферной перегонки и один узел реформинга сырой нефти.
В настоящее время нефтеперрабатывающий завод имеет объем нефтехранилища, достаточный для 4-х дней работы, но обычный объем хранения на участке составляет меньше дневного объема.
Все продукты завода, кроме сжиженного углеводородного газа, перемещаются по трубопроводу в близлежащий нефтяной терминал, после чего отправляется потребителю. Терминал принадлежит и управляется другим филиалом компании XYZ. Большая доля дизельного топлива нефтеперерабатывающего завода и мазут экспортируется в средиземноморскую часть. Сжиженный углеводородный газ хранится на участке в шести 100 м3 буллитах, расположенных в защищенном месте далеком к северу от участка. Вблизи них расположен загрузочный пункт с отдельной дорогой к нему.
Нефтеперерабатывающий завод был построен в соответствии с Советскими/Российскими нормами, и на всех участках процесса переработки использовались внутренние технологии. Большая часть установок была изначально спроектирована советскими предприятиями, а оборудование поставлялось из стран бывшего Советского Союза. Некоторые из недавно установленных узлов были поставлены из-за границы.
В контроле за некоторыми модулями всех узлов процесса используются российские компьютеризированные системы распределенного контроля. Данные системы контролируют только нагреватели и секцию стабилизации сырой нефти колонны атмосферной перегонки. Они также управляют всем узлом риформинга сырой нефти, кроме секции гидрообработки. Распределенная система управления также контролирует работу электростанции.
English to Russian: Senior Secured Creditor General field: Law/Patents
Source text - English The Senior Secured Creditor may, without the consent of the Borrower or the Guarantor, assign to one or more Persons (each an “Assignee”) all, or a proportionate part of all, its rights and obligations under this Agreement and the Note, and such Assignee shall assume such rights and obligations, provided that (i) prior to the first assignment under this clause, the Senior Secured Creditor (x) shall have appointed an administrative agent (the “Administrative Agent”), which may be any person (including the Senior Secured Creditor or an Affiliate thereof) to act as agent on behalf of all Senior Secured Creditors which acquire interests hereunder from time to time as Assignees (all such Senior Secured Creditors and the Senior Secured Creditor, if it remains a Holder of the Loan, collectively being a Senior Secured Creditor Group for the purposes of the Common Security Agreement), (y) shall have entered into an agency agreement with the Administrative Agent setting forth terms concerning the Administrative Agent, creditor decision making and other inter-creditor matters and remedies in a form consistent in all material respects with the terms and conditions applicable to such matters under the Indenture (the “Agency Agreement”) and (z) shall have supplied a copy of the Agency Agreement to each of the Borrower, the Guarantor and the Common Security Trustee, and (ii) the parties to such an assignment shall execute and deliver to the Administrative Agent (with a copy to the Borrower, the Guarantor and the Common Security Trustee), an instrument, governed by New York law and signed by both the assignee and the assignor (an “Assignment and Acceptance”) (A) stating that the assignee makes and agrees to be bound by the provisions of this Agreement and the Agency Agreement and shall acquire and assume the specified rights and obligations of the assignor hereunder and that the assignor, to the extent of the interests so assigned, relinquishes its rights and is released from its obligations hereunder and (B) containing an appointment by the assignee of the Administrative Agent to take such action and to exercise such powers hereunder and under the Agency Agreement as are delegated to it by the terms thereof, together with such powers as are reasonably incidental thereto. Upon such execution, delivery and acceptance, and from and as of the acceptance date specified in such Assignment and Acceptance, (aa) the Assignee thereafter shall be a party hereto and, to the extent that rights and obligations hereunder have been assigned to it pursuant to such Assignment and Acceptance, have the rights and obligations as a Senior Secured Creditor hereunder and (bb) the assignor thereunder shall, to the extent that rights and obligations hereunder have been assigned by it pursuant to such Assignment and Acceptance, relinquish its rights and be released from its obligations under this Agreement (and, in the case of an Assignment and Acceptance covering all or the remaining portion of the assignor’s rights and obligations under this Agreement, shall cease to be a party hereto).
