authority to bind

(standard clause establishing the party who has the authority to bind the company--in your text it appears to be the company itself)

(I've also seen this expressed in Spanish as "facultad para obligar.")

Spanish term (edited): Legitimación para obligar en los términos del presente acuerdo

power to assume the obligations hereunder

Rebeca is correct of course, but given the text you've quoted here, I'd go for a slightly different wording.

"A company with full legal capacity to act and with the power to assume the obligations hereunder"
