Neither Party shall do, or omit to do, any act, or authorise or omit to authorise, or cause or permit anything to be done over which it has control or which it can otherwise by the exercise of any right or power reasonably prevent from being done, which would be inconsistent with or in breach of any warranty to be repeated at Completion //////if the same were to be repeated///// immediately prior to Completion by reference to circumstances then existing.

From the warranty clause of a Seller/Buyer's agreement.

"Completion" refers to the actual completion of the selling/buying process

Ghyslaine, Dans ce genre de transaction, dont le processus de vérification diligente peut être assez long, il n'est pas rare que certaines des déclarations et garanties données lors de la signature de la convention de vente doivent être répétées (pour validation, par attestation du vendeur) au moment de la clôture. C'est ce que raconte cette horrible phrase: les parties se gardent de faire quoi que ce soit qui invaliderait une garantie si elle était réitérée immédiatement avant la clôture en tenant compte des circonstances qui prévalent alors. (= inconsistent with or in breach of any warranty to be repeated at Completion if [such warranty to be repeated at Completion] were to be repeated ... by reference to circumstances then existing)
