How would you translate it?

Which country is it from? I'd probably translate it as something like "representative agency", but it would help to know which Spanish-speaking country it came from (I suspect Colombia).

Tacit negotiorum gestio

Negotiorum gestio (Latin for "management of business") is a form of spontaneous voluntary agency in which an intervenor or intermeddler, the gestor, acts on behalf and for the benefit of a principal (dominus negotii), but without the latter's prior consent. The gestor is only entitled to reimbursement for expenses and not to remuneration, the underlying principle being that negotiorum gestio is intended as an act of generosity and friendship and not to allow the gestor to profit from his intermeddling. This form of intervention is classified as a quasi-contract and found in civil-law jurisdictions and in mixed systems (e.g. Scots, South African, and Philippine laws).

La agencia oficiosa es un contrato de carácter civil que se encuentra establecido en el artículo 2304 del código civil, a través del cual una persona que se denomina agente oficioso o gerente administra sin que medie un contrato de mandato los negocios de una persona respecto a la cual se obliga y al cual obliga en ciertos casos.
Para que este contrato exista según lo establecido por la Corte Suprema de Justicia en sentencia de 15 de octubre de 1941, es necesario que concurran los siguientes requisitos:
Que se administren negocios ajenos.
La ausencia de mandato para la gestión de los negocios.

También llamada Gestión de negocios ajenos, se encuentra regulada en el Libro IV, Título XXXIV "De los cuasicontratos", Párrafo 1 "De la agencia oficiosa o gestión de negocios ajenos"

Art. 2286 c.c. "(...) Es un cuasicontrato por el cual el que administra sin mandato los negocios de alguna persona, se obliga para con ésta, y la obliga en ciertos casos"

Por tanto se trata de una institución mediante la cual una persona toma las medidas necesarias para resguardar intereses ajenos y asume la gestión de un negocio. Incluso en ciertos casos obliga al interesado en cuyo favor obró.

Quasi-contracts may be multiplied almost to infinity. They are, however, divided into five classes: such "relate to the voluntary and spontaneous management of the affairs of another, without authority; the administration of tutorship; the management of common property; the acquisition of an inheritance; and the payment of a sum of money or other thing by mistake, when nothing was due.

- 1. Negotiorum gestio. When a man undertakes of his own accord to manage the affairs of another, the person assuming the agency contracts the tacit engagement to continue it, and complete it, until the owner shall be in a condition to attend to it himself. The obligation of such a person is, 1st. To act for the benefit of the absentee. 2d. He is commonly answerable for the slightest neglect. 3d. He is bound to render an account of his management. Equity obliges the proprietor, whose business has been well managed, 1st. To comply with the engagements contracted by the manager in his name. 2d. To indemnify the manager in all the engagements he has contracted. 3d. To reimburse him all useful and necessary expenses.

I was trying to find an exact equivalent but your solution is better than mine. Only yesterday I came across 'contrato de mandato' for the first time, which is the same as this but with a 'mandate', an 'agency agreement)'.

Thank you for confirming I wasn't way off the mark, Charles :-) Neil's suggestion looks good but when I searched for "representative agency" it seems to refer mainly to sales.

neutral Charles Davis : NB Helena's ref. shows that agencia oficiosa requires ausencia de mandato, so it's not like a power of attorney. You'd have to add "unofficial" or something.
