This document in entered into to record XXX and Distributor’s agreement to **provision payments** in respect of sales to a particular customer in accordance with clause 2.2 of the Distribution Agreement. (...)

Subject to the following provisions of this document, XXX shall pay a **provision payment** to Distributor at the Rate and over the Period in respect of Products sold by XXX directly to the relevant Customer where such contracts for sale were concluded directly and wholly as a result of Distributor’s efforts. Distributor shall not be entitled to any additional commission, compensation or reward on or in connection with any other transactions whatsoever including, without limitation, sales by XXX’s distributors to the Customer.
