English to Russian Law/Patents Law (general)

The Board of Directors (the “Board”) of the Company has adopted
the following Corporate Governance Guidelines (the “Guidelines”) to promote the effective
functioning of the Board and to assist the Board in fulfilling its responsibilities. These
Guidelines are intended to be a framework for governance of the Company but the Board retains
the flexibility to focus on the most critical issues facing the Company on a case-by-case basis.
The Guidelines should be interpreted in the context of all applicable federal or state laws or
regulations the Company’s Certificate of Incorporation and Bylaws, New York Stock Exchange
(“NYSE”) rules and regulations applicable to the Company, and the Company’s policies.
