English to Polish Bus/Financial Law: Contract(s) PARTIAL SEPARATION AGREEMENT AND PURCHASE OF GENERAL PARTNER INTERESTS

Johnson agrees not to sell, assign or transfer the GP Interests or any interest therein to any person other than to Wilson pursuant to this Agreement. Johnson will reasonably cooperate with Wilson in connection with any proposed sale described in Section 7(a). For the avoidance of doubt, Johnson is not agreeing under this Agreement to sell, transfer or assign any interest in his carried interest or capital investments in the general partners of funds or in limited partnership interests of funds (including, in each case, through family trusts), in each case that are sponsored, managed or advised by the Terrax Group Companies, and those interests may not be reduced without Johnson's consent, subject in each case to the applicable vesting schedule and the terms of the relevant organizational documents and the Separation Agreement.
