Note:

Net als ‘vrijwaring’ in het Nederlands, is ‘indemnity’ en ‘indemnification’ in het Engels nergens precies gedefinieerd. Bij ‘indemnity’ gaat het om een plicht de ander te vrijwaren of, omgekeerd, het recht gevrijwaard te worden en de vergoeding die daar mee gepaard gaat. Dit wordt in een ‘indemnity clause’ opgenomen. Een ‘indemnification’ is de procedure die ingesteld wordt om ‘indemnity’ en de daarmee gepaard gaande vergoeding te vorderen. Het werkwoord ‘indemnify’ wordt vaak in combinatie met ‘hold harmless’ gebruikt; beide termen worden veelal als synoniemen gezien, ook in geschillen, hoewel sommigen volhouden dat er wel een verschil is.
