“Fully Loaded Cost” shall mean 100% of the amounts paid or incurred by or on behalf of the applicable Provider in connection with any employees, personnel, temporary agency workers, equipment and facilities used by the Provider to provide the applicable Service, including amounts reasonably paid or incurred in connection with salary, wages, allowances, overtime pay, annual or other recurring cash bonus opportunities, other forms of variable compensation, equity or equity-based incentive awards, benefits and perquisites of employment, employment taxes, social security contributions, vacation pay, sick pay, pay relating to family related or compassionate leave, insurance premiums and related reasonably-incurred administrative expenses of employees of the applicable Provider or its Affiliates attributable to the performance of the Services
