English term

cancel shares

English to Spanish Law/Patents Law: Contract(s)
"the Donor hereby requests that the Shares be canceled upon receipt"

This is a Share Donation Agreement. The paragraph mentions how the Recipient must deem void all the voting rights for the Shares. However, I do not understand how the shares can be canceled and still be valid.
Proposed translations (Spanish)
3 +5 anular acciones

Discussion

John Rynne Jan 6, 2021:
A theory Maybe the donor is giving the shares back to the company that issued them, and wants them to be cancelled, i.e. that capital be reduced accordingly. I don't know why anyone would want this, but it's the only thing that makes sense to me.

anular acciones

When a company cancels its common stock, it declares all existing common stock certificates to be null and void. ... After canceling, the company may cease to exist or issue new shares in a reorganized company.

Peer comment(s):

agree Adrian MM. : with cancelar as it retains the ambiguity of crossing out the - query: registered vs. bearer - share certificates, so wiping out voting rights. It is the company that 'forfeits' the shares, thereby invalidating them.
