Definition / notes:The GmbH & Co. KG is a combination of a limited commercial partnership (KG) and a private limited liability company (GmbH). In other words, it is a limited partnership in which the only unlimited partner (Komplementär) is a limited liability company. Such an organisation is legally a limited commercial partnership. However, while the person or persons listed are liable only to the extent of their registered shares, the GmbH as the unlimited partner is, according to its status as a limited liability company, responsible for business debts only to the extent of its share capital.
