5.3 Producer shall at all times indemnify and hold harmless on an after-tax basis xxx, its licensees, assignees, shareholders, directors, employees, officers, representatives and affiliated companies against any liability, including liability for interest, additions to tax, and penalties, to any governmental agency for failure to withhold any taxes on the Budget Contribution paid to Producer under the Specific Terms of the Agreement to the extent Producer (i) received payment from xxx of amounts that should have been withheld and (ii) has certified that it is not subject to withholding.
