7.1.1. It Is a duly established and operating company under the laws of the location of its incorporation;
7.1.2. The signing, execution and compliance with this Contract (i) has been duly authorized through the performance of all necessary corporate acts, (ii) does not violate any provision of any agreement or other instrument to which it is a party or with which it is bound, and (iii) does not and will not conflict with such agreements or instruments nor result in violation of such agreements or instruments, or constitute a breach under them; and
7.1.3. Hold all rights, powers and authority to sign this Contract without the need for any further consent or approval by any third party in the form of corporate or governmental authorization.
